ROLE OF THE COMMITTEE

The primary function of the Human Resources Committee is to set the policy framework, review of succession plans for various management levels and recommend the remuneration of Executive Directors and Senior Executives.

This is done to ensure:
  • That the Company's Executive Directors and Senior Executives are fairly rewarded for their individual contributions to the Company's overall performance; and
  • That the levels of remuneration are sufficient to attract and retain the Executive Directors and Senior Executives needed to run the Company successfully. 

In addition, the Human Resources Committee reviews the recommendations of the Management for higher education within or outside the country, and renewal of service contracts or seperation of a member of senior management.

COMMITTEE'S PROCEDURES 

Meetings are conducted at least annually or at such other frequency as the Chairman may determine.

Divisional Manager Human Resources is the Secretary of the Human Resources Committee.  The minutes of the meetings of the Human Resources Committee are provided to all members and directors.

In order to form a quorom for the meeting, at least two members shall be present.  In the absence of the Chairman, the members present shall elect a Chairman for the meeting from amongst the members present.
